Terms of Service

Welcome to ShortStack (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of the ShortStack platform, website, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms are governed by the laws of New Zealand.
1. The Service
ShortStack provides a multi-tenant SaaS platform designed for trade businesses to capture, qualify, and manage leads, as well as handle related business operations. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
2. Account Registration & Security
- Eligibility: You must be 18 years or older and capable of forming a binding contract under New Zealand law to use this Service.
- Accuracy: You must provide accurate and complete information when registering an account.
- Security: You are responsible for maintaining the confidentiality of your login credentials. We are not liable for any loss or damage arising from your failure to protect your account.
3. Subscription & Payments
- Fees: Use of certain features requires a paid subscription (Starter or Professional plans). Subscription fees are billed in advance on a recurring basis (monthly or annually).
- Payment Processing: We use Stripe, a third-party payment processor, to handle transactions. By subscribing, you agree to Stripe's terms and conditions.
- Free Trial: All new accounts receive a 14-day Professional-access trial. No credit card is required to start the trial. Billing commences on the trial end date. The trial period runs its full duration regardless of the plan selected during the trial.
- Upgrades: Upgrading from Starter to Professional takes effect immediately. You will be charged the prorated difference for the remaining days in your current billing cycle at the time of upgrade.
- Downgrades: Downgrading from Professional to Starter is deferred to the start of your next billing cycle. You retain full Professional access until the current paid period ends.
- Refunds: All fees are non-refundable once payment has been processed. ShortStack does not offer partial refunds for unused time within a billing period. If you cancel, you retain access to your plan's features until the end of the paid period. This policy applies to the maximum extent permitted by New Zealand law. Where the Consumer Guarantees Act 1993 applies (which is generally limited for business-to-business services), statutory rights are not affected.
- Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. You retain full access to your plan's features until that date.
- Reactivation: If you cancel and then reactivate before the billing period ends, the pending cancellation will be removed and your subscription will continue uninterrupted.
4. Subscription Lapse & Grace Period
If your subscription ends (including by non-renewal or failed payment) and you do not resubscribe, the following applies:
- Questionnaire pause: Your lead capture questionnaire is immediately deactivated. Any new submissions during the lapsed period will receive a “service not available” message and will not be recorded.
- Read-only access: You retain read-only access to all existing lead data, analytics, and historical records for a 30-day grace period from the subscription end date.
- Locked actions: All operational actions (sending messages, creating proposals, Tap-to-Pay, etc.) are locked during the grace period. A prominent upgrade CTA will be shown throughout your dashboard.
- Data archiving: After the 30-day grace period, your account may be archived at our discretion. Archived data is not deleted and can be restored upon resubscription by contacting us.
- Resubscription: Resubscribing at any point — including after the grace period — fully restores your account, lead data, and questionnaire.
5. Intellectual Property
- Our IP: We own all rights, title, and interest in the ShortStack platform, including its code, design, features, and branding tools. You are granted a limited, non-exclusive, non-transferable licence to use the Service.
- Your Data: You retain all rights to the data you upload or collect through the Service (including your company logo, branding, and lead data). By using the Service, you grant us a licence to process and store this data solely to provide the Service to you.
6. Data Isolation & Confidentiality
ShortStack is a multi-tenant platform. Each client's data is isolated at the database layer via Row-Level Security (RLS) policies. You cannot access another client's leads, jobs, messages, or billing information, and they cannot access yours.
We treat your lead data as confidential. We do not sell, rent, share, or use it for our own marketing, and we do not train public AI models on it. ShortStack staff access client data only where necessary to provide support you have requested or to investigate a security or platform issue.
7. Acceptable Use
You agree not to use the Service:
- To violate any local, national, or international law, including the New Zealand Unsolicited Electronic Messages Act 2007 (Anti-Spam).
- To send unsolicited, unauthorised, or “spam” emails or Telegram messages.
- To upload viruses, malicious code, or illegal content.
- To attempt to reverse-engineer, disrupt, or gain unauthorised access to our systems.
We reserve the right to immediately suspend or terminate your account if you violate these Acceptable Use terms.
8. Limitation of Liability
ShortStack provides tooling — we do not make decisions about how you use lead data in your business. You are responsible for how you contact leads, what you quote, and how you deliver work.
To the maximum extent permitted by New Zealand law, ShortStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, leads, or business opportunities, arising out of or related to your use of the Service. This includes claims arising from how lead data is used, stored, or communicated by you or your staff.
The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to guarantees of uninterrupted uptime.
9. Indemnification
You agree to indemnify and hold harmless ShortStack, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (especially concerning the processing of your clients' lead data).
10. Changes to Terms
We may periodically update these Terms. If the changes are material, we will provide notice via email or within the dashboard. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
